Terms of Service

These Terms govern your access to and use of the Kaidou platform. By creating an account or using the Service, you agree to be bound by these Terms.


1. The Service

Kaidou is a real-time QR-code menu and food ordering platform built for restaurants in the Philippines. The Service consists of three interconnected applications:

  • Admin Dashboard (admin.kaidou.io) — for restaurant operators to manage menus, staff, orders, tables, and settings
  • Customer App — a progressive web app accessed by diners via QR code scan, used to browse menus and place orders without installing an app
  • Kitchen Display System (KDS) — a real-time order queue display for kitchen staff

2. Eligibility

To create a Kaidou Operator account, you must:

  • Be at least 18 years old
  • Be a legally authorized representative of a food and beverage establishment
  • Have a valid email address
  • Provide accurate, complete, and up-to-date registration information

By accepting these Terms, you represent that you meet all eligibility requirements.

3. Accounts

3.1 Registration

You are responsible for all activity that occurs under your account. Keep your login credentials confidential. Notify us immediately at hello@kaidou.io if you suspect unauthorized access.

3.2 Accuracy

You agree to provide and maintain accurate business information, including your restaurant name, address, and contact details.

3.3 One Account Per Business Entity

Each restaurant location should be configured as a branch within your account. Creating multiple accounts to circumvent subscription limits is prohibited and may result in account suspension.

4. Operator Responsibilities

As a restaurant Operator, you are solely responsible for:

  • Menu accuracy — Ensuring all item names, descriptions, prices (in Philippine Peso), availability, allergen warnings, and modifier options are accurate and kept current
  • Legal and regulatory compliance — Complying with all applicable Philippine laws including the Food Safety Act (RA 10611), Consumer Act (RA 7394), and applicable local government permits and ordinances
  • VAT and taxation — Correctly configuring your VAT settings (12% standard in the Philippines) and remitting all applicable taxes consistent with your BIR registration
  • Staff accounts — Managing access for your staff members and ensuring they use the Service appropriately
  • Customer communications — Handling order issues, refunds, or complaints with your customers directly

Kaidou is a technology platform, not a party to the transaction between you and your customers. We are not liable for menu errors, unfulfilled orders, food quality, or regulatory violations by Operators.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, national, or international law
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or Kaidou's infrastructure
  • Upload content that is defamatory, obscene, fraudulent, or that infringes any third party's intellectual property rights
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts or bots to interact with the Service without prior written consent from Kaidou
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to send spam or unsolicited communications

6. Menu Content and Intellectual Property

6.1 Your Content

You retain full ownership of all menu items, descriptions, prices, images, and other materials you upload to the Service ("Your Content"). By uploading content, you grant Kaidou a limited, non-exclusive, royalty-free license to store, display, and deliver Your Content solely for the purpose of providing the Service to you and your customers.

6.2 Kaidou IP

The Kaidou name, logo, software, interface design, and documentation are owned by Kaidou and protected under applicable intellectual property laws. You may not use Kaidou's brand assets without prior written consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Kaidou the right to use that feedback without restriction or compensation.

7. Subscription and Billing

7.1 Plans

Kaidou offers free and paid subscription plans as described at kaidou.io. Features available on each plan may change with notice.

7.2 Currency and Billing

All paid plans are billed in Philippine Peso (PHP). By subscribing to a paid plan, you authorize Kaidou to charge your payment method on a recurring basis until you cancel.

7.3 Cancellation

You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.

7.4 Price Changes

We will notify you via email at least 30 days in advance of any subscription price changes. Continued use after the effective date constitutes acceptance.

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted, error-free service. Scheduled maintenance will be announced in advance where possible. We are not liable for interruptions caused by events outside our reasonable control, including internet outages, third-party service failures, or natural disasters (force majeure).

9. Your Data

9.1 Data Ownership

You own all data you input into the Service — menus, orders, table configurations, and customer records. Kaidou processes this data as a data processor on your behalf.

9.2 Aggregated Data

Kaidou may use anonymized, aggregated, non-personally identifiable data to improve the Service and produce industry insights. This data will never identify you or your customers individually.

9.3 Data Export

You may export your data at any time from account settings. Upon account termination, we retain your data for 30 days, during which you may request a full export. After 30 days, data is permanently deleted.

10. Termination

10.1 By You

You may close your account at any time through account settings or by emailing hello@kaidou.io.

10.2 By Kaidou

We reserve the right to suspend or terminate your account if you materially breach these Terms, your account poses a security threat, or we are required to do so by law. Where possible, we will provide reasonable advance notice.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAIDOU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KAIDOU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Kaidou shall not be liable for lost profits, revenue, or data; indirect, incidental, special, or consequential damages; or damages arising from unauthorized access to your data.

Kaidou's total cumulative liability shall not exceed the greater of (a) the total fees paid by you in the three (3) months preceding the claim, or (b) PHP 5,000.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines without regard to conflict of law principles.

Disputes shall first be addressed through good-faith negotiation within 30 days of written notice. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the appropriate courts of Makati City, Metro Manila, Philippines.

14. Changes to These Terms

We may update these Terms periodically. We will notify you of material changes by email at least 14 days before the new Terms take effect. Continued use of the Service after that date constitutes acceptance.
